23 Agustus 2024Global law firm K&L Gates LLP advised Terramont Infrastructure Partners, a North American-focused infrastructure investment firm, on a recapitalization transaction with a significant equity investment in Long Island Waste Services. Terramont is focused on companies that are critical to the economy and which seek to make a positive, measurable sustainability impact. Founded in 2020, Long Island Waste Services offers comprehensive services which encompass efficient waste collection, state-of-the-art transfer stations, materials recovery facility, and environmentally responsible disposal.
The cross-practice group deal was led by K&L Gates Charleston partners Andrew Lloyd and Lauren Garenne on the corporate deal, Charlotte partner Aaron Rothman on the debt financing, and New York partners Ed Dartley and Adam Tejeda on the tax, co-investment and fund structuring.
“The K&L Gates team is extremely proud to be advising Terramont on its latest acquisition,” Dartley said. “This was a complex deal that leveraged off of our ability to cross-sell and utilize our capabilities across multiple practice groups, particularly our Asset Management and Investment Funds, our Private Equity Transactions, and Tax groups. Those capabilities positioned us to successfully advise Terramont on this transaction with Long Island Waste Services, including on the debt arrangements that were needed in support of the recapitalization, and on the Terramont Fund I and co-investment structuring and equity financing of the deal. We look forward to working with Terramont on future projects and in furtherance of their investment in Long Island Waste Services.”
“K&L Gates provided excellent support and expertise to successfully navigate through all the complexities of this transaction under a tight timeline,” added Vikram Singh, managing partner and co-founder of Terramont.
